Enterprise Master Subscription Agreement

1. SaaS Subscription & Service Scope
This Master Subscription Agreement ("Agreement") governs access to and use of the BIZERP Enterprise Cloud ERP platform ("Service") provided by BIZERP. By creating a tenant account, initiating a trial, or executing a subscription order, the subscribing enterprise ("Customer") agrees to these terms.
BIZERP grants Customer a non-exclusive, non-transferable, multi-tenant cloud subscription to access the modules and user seat capacities specified in Customer's active subscription plan (Starter, Professional, Enterprise, or Custom).
2. Multi-Tenant Data Isolation & Customer Ownership
Ownership: Customer retains exclusive and unencumbered ownership of all commercial data, inventory transactions, general ledger records, customer records, and manufacturing files entered into the Service ("Customer Data").
Data Isolation: BIZERP enforces strict logical partition isolation at the application and query layers. No subscriber data is accessible to or shared with any other corporate tenant. BIZERP will never sell, monetize, or utilize Customer Data for third-party commercial purposes.
3. 14-Day Evaluation Trials & Commercial Billing
Free Trial: New tenants receive a 14-day full-access evaluation trial without upfront credit card requirements. Upon trial expiration, continued read/write access requires an active paid subscription.
Billing Cycles & Currency: Subscriptions are billed in advance on a monthly or annual basis. Prices are quoted in USD or BDT as indicated during registration. BIZERP independently validates all authoritative prices and discounts server-side.
Taxes: Fees exclude applicable national taxes, VAT, or withholding, which will be charged where legally required.
4. Service Level Agreement (SLA) & Uptime Commitments
SLA calculation excludes scheduled maintenance windows announced at least 48 hours in advance.
5. Security, Access Controls & Acceptable Use
Customer is responsible for maintaining the confidentiality of administrative credentials, enforcing Multi-Factor Authentication (MFA) policies for privileged users, and managing role-based access permissions.
Customer agrees not to reverse-engineer, decompile, benchmark for competitive intelligence, or subject the Service to unauthorized automated vulnerability exploitation.
6. Plan Modification, Downgrade & Cancellation
Upgrades: Plan upgrades take effect immediately with prorated billing credit applied.
Downgrades & Cancellation: Customer may request cancellation or downgrade at any time via the self-service Billing Center. Downgrades take effect at the end of the active billing cycle. Historical business records are preserved in read-only format for export during the standard 30-day post-cancellation grace period.
7. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Delaware, USA for international subscribers and the laws of Bangladesh for regional corporate subscriptions.
